Nasan Energies Completes Acquisition of Divested Vivo Energy Service Stations in Namibia

Nasan Energies Acquires Former Engen and Shell Service Stations as Vivo Energy Completes Regulatory Divestment in Namibia

Nasan Energies has completed the acquisition of divested Engen- and Shell-branded service stations from Vivo Energy Namibia following approval by the Namibian Competition Commission.

The acquisition concludes a divestment process tied to Vivo Energy’s purchase of Engen Limited from Petronas in May 2024.

As part of the regulatory conditions attached to the transaction, Vivo Energy was required to dispose of selected fuel retail assets in Namibia to maintain competition in the market.

Vivo Energy confirmed that the sale fully satisfies the regulatory obligations imposed by the Namibian Competition Commission.

“With immediate effect, all of the divested service stations previously operating under the Engen and Shell brands are owned and supplied by Nasan Energies,” the companies said in a joint statement.

The Shell-branded service stations will be debranded immediately, while the Engen-branded sites will continue operating under the Engen identity during a transition period before being progressively rebranded as Nasan Energies outlets.

During the transition phase, Nasan Energies will assume full responsibility for the operations, fuel supply, customer service and management of the affected service stations.

Vivo Energy Namibia Managing Director Johan Grobbelaar said the transaction marks the successful completion of the company’s regulatory commitments in Namibia.

“Completion of this transaction represents the fulfilment of our regulatory commitment to the Namibian Competition Commission and to the people of Namibia.

We have worked closely and collaboratively with the Nasan Energies team over recent months to ensure the smoothest possible transition at these sites,” said Grobbelaar.

He added that Vivo Energy wishes Nasan Energies success as it assumes ownership and operation of the service stations.

Nasan Energies Chief Executive Officer Miguel Hamutenya described the acquisition as a significant milestone for the locally founded fuel company.

“Today marks an important milestone for Nasan Energies. We are proud to stand as one of Namibia’s first privately owned and locally founded major oil marketing companies,” Hamutenya said.

“We have taken full ownership and operational responsibility for these service stations and are committed to delivering the highest standards of service and reliability to our customers from day one.”

According to the company, the acquisition strengthens its position in Namibia’s retail fuel sector, making it the country’s third-largest fuel retailer by number of service stations, behind Vivo Energy and Puma Energy.

Nasan Energies said the transaction will support its strategy to expand its market footprint and build a stronger local energy brand in an industry that has historically been dominated by multinational operators.

Vivo Energy operates across 28 African markets under the Engen and Shell brands and manages a network of more than 4,000 service stations across the continent.
