TotalEnergies Finalizes $800M Sale of 10% Stake in Nigerian Joint Venture, Maintains Strategic Gas Portfolio
TotalEnergies has completed the sale of its 10% non-operated interest in the Renaissance Joint Venture (JV) in Nigeria to Vaaris in a transaction valued at $800 million, marking another significant step in the company’s portfolio optimization strategy.
The deal highlights the growing shift among international energy companies toward concentrating investments on high-value and lower-emission energy assets.
The divestment covers TotalEnergies’ interests across 15 oil licenses held by the Renaissance Joint Venture, one of Nigeria’s longstanding hydrocarbon-producing partnerships.
While the transaction reduces the company’s exposure to onshore oil operations, TotalEnergies has retained its full economic interests in three strategically important gas assets: OMLs 23, 28 and 77.
The decision reflects the company’s broader strategy of strengthening its position in the natural gas sector, which is increasingly viewed as a key component of the global energy transition.
Nigeria holds some of Africa’s largest natural gas reserves, making gas-focused investments particularly attractive to international energy firms seeking long-term growth opportunities while supporting lower-carbon energy development.
For Nigeria, the transaction underscores a continuing trend of asset transfers from international oil majors to new investors and indigenous operators.
Such deals have reshaped the country’s upstream landscape in recent years, creating opportunities for new capital deployment and operational management models across mature oil-producing regions.
Despite exiting its oil interests within the joint venture, TotalEnergies’ decision to maintain its gas holdings signals continued confidence in Nigeria’s energy future.
The retained assets provide the company with exposure to a sector expected to play an increasingly important role in domestic power generation, industrial development and future export opportunities.
The completion of the transaction also reflects ongoing efforts by global energy companies to rebalance portfolios in line with evolving market conditions, regulatory expectations and energy transition priorities, while continuing to invest in assets capable of delivering long-term value.
